1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DropPolish ("Company," "we," "us," or "our") governing your access to and use of the DropPolish website, applications, and services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

2. Description of Service

DropPolish provides AI-powered image enhancement services for e-commerce and dropshipping businesses, including but not limited to:

• Image quality enhancement
• Background removal and replacement
• Watermark removal
• Image upscaling
• AI-generated backgrounds
• Batch image processing

The Service is provided on a subscription and credit-based model as described in our pricing plans.

3. Eligibility

To use the Service, you must:

• Be at least 16 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Provide accurate and complete registration information

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

4.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. We will not be liable for any loss or damage arising from your failure to protect your account information.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended periods of inactivity
• Any other reason at our sole discretion

5. Subscription Plans and Payments

5.1 Pricing and Plans

We offer various subscription plans and credit packages as described on our pricing page. Prices are subject to change with reasonable notice.

5.2 Payment Terms

• All fees are quoted and payable in US Dollars (USD) unless otherwise specified
• Subscription fees are billed in advance on a monthly or annual basis
• Payment is processed through our third-party payment provider (Polar.sh or similar)
• You authorize us to charge your payment method for all applicable fees

5.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless:

• You cancel before the renewal date
• We terminate your account
• We discontinue the Service

5.4 Refund Policy

• Monthly Subscriptions: No refunds for partial months
• Annual Subscriptions: Pro-rata refund available within first 14 days
• Credit Packs: Non-refundable once purchased
• Unused Credits: Credits do not roll over and expire at the end of the billing period (subscriptions) or after 12 months (credit packs)

5.5 Failed Payments

If payment fails, we will:

1. Attempt to charge your payment method again
2. Notify you of the failed payment
3. Suspend your account after 7 days of non-payment
4. Terminate your account after 30 days of non-payment

6. Acceptable Use Policy

6.1 Permitted Uses

You may use the Service for:

• Enhancing product images for legitimate e-commerce purposes
• Removing backgrounds from images you own or have rights to use
• Creating marketing materials for your business
• Any other lawful purpose consistent with these Terms

6.2 Prohibited Uses

You agree NOT to use the Service to:

Illegal Content

• Process images containing illegal content, including child exploitation material
• Facilitate any illegal activity or violate any applicable laws
• Process images that infringe on intellectual property rights you do not own

Harmful Content

• Create, distribute, or promote violent, hateful, or discriminatory content
• Generate deepfakes or misleading media intended to deceive
• Harass, abuse, or harm any person or entity

Fraudulent Activity

• Engage in fraud, deception, or misrepresentation
• Create counterfeit or misleading product images
• Remove watermarks from images you do not have rights to modify
• Impersonate any person or entity

Technical Abuse

• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Use automated scripts to access the Service without permission
• Reverse engineer, decompile, or disassemble the Service
• Circumvent any security or access controls

Commercial Abuse

• Resell or redistribute the Service without authorization
• Use the Service to build a competing product
• Exceed your plan's usage limits through technical manipulation

6.3 Enforcement

We reserve the right to:

• Remove any content that violates these Terms
• Suspend or terminate accounts that violate these Terms
• Report illegal activity to law enforcement
• Pursue legal action for violations

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by DropPolish and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not:

• Copy, modify, or distribute our software or content
• Use our trademarks, logos, or branding without permission
• Remove any proprietary notices from the Service

7.2 Your Content

Ownership: You retain all ownership rights to images and content you upload to the Service ("User Content").

License Grant: By uploading User Content, you grant us a limited, non-exclusive, royalty-free license to:

• Process and enhance your images as requested
• Store your images temporarily to provide the Service
• Create derivative works (enhanced images) as directed by you

This license terminates when you delete your content or close your account.

Representations: You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not infringe on any third-party rights
• You have obtained necessary permissions for any identifiable individuals in your images

7.3 Output Content

Enhanced images and other outputs generated by the Service ("Output Content") are owned by you, subject to:

• Compliance with these Terms
• Any third-party rights in the original images
• Our right to use anonymized outputs to improve our AI models (unless you opt out)

8. Third-Party Services and APIs

8.1 AI Service Providers

Our Service utilizes third-party AI APIs to process images. By using our Service, you acknowledge that your images may be processed by:

• Google (Gemini API)
• Zhipu AI (GLM API)
• Other AI service providers

These providers have their own terms of service and privacy policies.

8.2 Payment Processors

Payments are processed by third-party payment providers. We do not store your complete payment card information.

8.3 Disclaimer

We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is at your own risk.

9. Disclaimers and Limitations of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS
• AVAILABILITY OR RELIABILITY

9.2 No Guarantee of Results

We do not guarantee that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Any damages arising from your use or inability to use the Service
• Any unauthorized access to or alteration of your content

Our total liability shall not exceed:

The greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

9.4 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless DropPolish and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at no-reply@droppolish.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

11.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute arising from these Terms shall be resolved by binding arbitration in accordance with the rules of [Arbitration Association]. The arbitration shall be conducted in English and the decision shall be final and binding.

11.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11.4 Exceptions

The following disputes are not subject to arbitration:

• Claims for injunctive or equitable relief
• Claims related to intellectual property infringement
• Claims that may be brought in small claims court

11.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Tunisia, without regard to its conflict of law provisions.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and DropPolish regarding the Service.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet service provider failures.

12.6 Notices

We may provide notices to you by:

• Email to the address associated with your account
• Posting on our website
• In-app notifications

14.2 Enterprise Plans

Enterprise customers may be subject to additional terms specified in their service agreement.

14.3 Beta Features

Beta features are provided "as is" without warranty and may be modified or discontinued at any time.
